# Studio Credits

How Studio Credits are allocated, priced, spent, reported and expired

These terms supplement the Master Service Agreement and any Scope of Work ("SOW") between the Client and PHOTOGRAPHER IN LLC, DBA Serge Creator Studios ("Agency"). In the event of any conflict between these terms and the Agreement, the Agreement shall control.

## 1. Definition

"Studio Credits" (or "Credits") are the unit of account in which the Agency prices, allocates and reports its services. A Credit is a unit of purchase under the Client's plan. It is not a unit of time, is not tied to any individual person, and does not represent a claim on any specific number of working hours.

## 2. Allocation

The Client's plan allocates a set number of Credits for each billing period, as set forth on the applicable SOW. The SOW states the Credit price applicable to the Client's plan and the number of Credits included. Credits are allocated at the start of each billing period following receipt of payment.

## 3. How work is priced

The number of Credits required for a given item of work is determined by the type of work and the level of specialist it requires, and is set out in the Agency's catalog of deliverables. It is not determined by the elapsed time spent on that work.

The Agency will state the Credit cost of a requested item before commencing it. Work requested by the Client and confirmed by the Agency is charged at the stated Credit cost regardless of how long that work takes to complete.

Work that is not listed in the catalog will be quoted in Credits by the Agency and confirmed by the Client before commencement, in accordance with Section 1 (Additional Services & Project Changes) of the Terms of Conditions.

## 4. Minimum charge and rounding

The smallest unit that may be charged is one half (0.5) of a Credit. Any item of work is charged at a minimum of 0.5 Credits. Credit amounts are rounded up to the nearest half Credit.

Components and internal production stages of a catalog deliverable are not charged separately. The catalog price of a deliverable is inclusive of all stages required to produce it.

Small requests that do not correspond to a catalog deliverable may be grouped by the Agency into a weekly bundle charged at 0.5 Credits.

## 5. Revisions

Catalog items include the number of revision rounds stated for that item. Revision rounds requested beyond that number are charged as a new catalog item.

## 6. Reporting

The Agency reports Credit usage to the Client on a periodic basis and makes usage available through the Brand Portal. Reporting is provided at the level of deliverables. The Agency is not obliged to report time spent, internal production stages, or the identity or seniority of personnel assigned to any item of work.

Credit usage reporting is subject to the same beta terms, delays and Client tracking responsibilities set out under Reporting in the Terms of Conditions.

## 7. Carry-forward and expiration

Credits allocated but not spent in a billing period carry forward for up to two (2) months from the end of the period in which they were allocated. Credits not spent within that window expire and are not refunded, exchanged or carried forward further. This provision operates consistently with Section 3.3 (Unused Budget Expiration) of the Terms of Conditions. Exceptions may apply and will be discussed on a case-by-case basis.

## 8. Over-delivery

Where the Client requests work exceeding the Credits available in the Client's balance, the Agency may either adjust deliverables or, with the Client's confirmation, invoice the additional Credits at the Credit price stated on the SOW. Over-delivery is governed by the Service Over-Delivery provisions of the Terms of Conditions.

## 9. No cash value

Credits have no cash value, are not currency, are not transferable between clients, and are not redeemable for cash. Credits are non-refundable in accordance with Section 19 (Refunds) of the Terms of Conditions.

## 10. Third-party platform costs

Catalog prices are inclusive of the Agency's ordinary production tooling, including generative software used in the course of production. Third-party costs incurred on the Client's behalf, such as media spend, licensed assets, talent and travel, are not covered by Credits and are governed by Section 2 (Expenses) of the Terms of Conditions.

## 11. Changes

The Agency may amend the catalog and the Credit cost of catalog items from time to time. The Credit price and Credit allocation stated on an executed SOW shall remain in effect for the term of that SOW. Material changes to these terms will be notified to the Client in accordance with Changes to Terms in the Terms of Conditions.
